These Terms and Conditions (“Terms”) govern your access to and use of the CS Research website and your purchase of products offered through it. By accessing the site, confirming eligibility, or placing an order, you agree to these Terms and to our Research-Use Disclaimer and Privacy Policy. If you do not agree, do not use the site.
1. Eligibility and access confirmation
Access to the catalog and the purchase of products are limited to individuals who are at least 21 years old and are qualified researchers or authorized representatives of research entities. Before viewing product information, you are required to confirm your eligibility. By confirming eligibility and by placing an order, you certify that the information you provide is true, complete, and accurate, and that you satisfy all requirements described in the Research-Use Disclaimer.
2. Research use only
All products are supplied exclusively for lawful laboratory and in-vitro research. They are not drugs, dietary supplements, food, cosmetics, or consumer products, and are not intended for human or animal consumption or for any medical or veterinary use. Your purchase and use of any product are subject to the Research-Use Disclaimer, including its prohibited-use and purchaser-responsibility provisions, which are incorporated into these Terms by reference.
3. Orders, acceptance, and refusal
Submitting an order is an offer to purchase; it does not create a binding contract until CS Research accepts the order. CS Research manually reviews orders and may request additional information, place an order under review, limit quantities, or refuse or cancel any order at its discretion — including where information is incomplete, inconsistent, unverifiable, or reasonably indicates a prohibited use. Acceptance of payment does not obligate CS Research to fulfill an order that fails its eligibility or research-use requirements. No product is reserved or shipped until payment is received and the order is accepted.
4. Pricing and payment
Prices are shown in U.S. dollars and may change at any time before an order is accepted. You agree to pay the total shown at checkout using an offered payment method. You are responsible for any taxes, duties, or fees imposed by applicable law. CS Research is not a payment processor and does not store full payment credentials.
5. Shipping
Shipping is governed by our Shipping Policy. Title and risk of loss pass to you upon delivery to the carrier. You are responsible for providing a complete and accurate shipping address.
6. Returns and refunds
Returns and refunds are governed by our Refund & Return Policy. Because products are research materials supplied in sealed vials, opened or unsealed items cannot be returned except as described in that policy.
7. Accounts and accuracy of information
You agree that all information you provide — including identity, research qualifications, intended research purpose, and shipping details — is complete and accurate, and you agree to keep it current. Providing false or misleading information, or attempting to circumvent the site’s eligibility or research-use requirements, is prohibited and may result in refusal or cancellation of orders and restriction of access.
8. Prohibited conduct
You agree not to use the site to violate any law; to scrape, harvest, or systematically extract catalog or product data; to circumvent the access gate or any security or rate-limiting measure; to interfere with the site’s operation; or to purchase products for any prohibited use described in the Research-Use Disclaimer.
9. Intellectual property
The site and its content — including text, graphics, logos, and product descriptions — are owned by CS Research or its licensors and are protected by applicable law. You may not copy, reproduce, or distribute site content except as necessary for your own lawful research reference.
10. Disclaimer of warranties
The site and all products and information are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. CS Research does not warrant that a product is suitable for any particular experiment, application, or jurisdiction.
11. Limitation of liability
To the fullest extent permitted by law, CS Research and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your handling or use of any product. To the extent liability cannot be excluded, it is limited to the amount you paid for the product giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless CS Research and its owners, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising from your breach of these Terms or the Research-Use Disclaimer, or from your handling, use, or transfer of any product.
13. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Austin, Texas, and you consent to their jurisdiction.
14. Changes to these Terms
CS Research may update these Terms from time to time. When the Terms change, a new version is published with a new “last updated” date, and, where appropriate, renewed acceptance is required. Prior versions are retained, and each order is associated with the version accepted at the time of purchase.
